This Document Will Be Effective Upon Your Acceptance Of The Same (Directly Or Indirectly In Electronic Form Or By Means Of An Electronic Record) And Will Govern The Relationship Between User And IndianOnlineSpices For The Use Of The Website (Defined Below)

These Terms and Conditions of the website located at the URL www.IndianOnlineSpices.com (hereinafter referred to as “IndianOnlineSpices”, “Company” or “We” or “Us” or “Our”) and the guest users or registered users of the Website (hereinafter referred to as “You” or “Your” or “Yourself” or “User”) describe the terms on which IndianOnlineSpices offers You access to the Website and such other services as are incidental and ancillary thereto (“Services”).

Vilcrafts Marketplace Private Limited(Henceforth referred to as “Company”)reserves the right to change this website and/or amend, alter the terms and conditions of this document at any time and your use of this Website following any amendments will represent your agreement to be bound by these Terms and Conditions as amended. 1. IndianOnlineSpices.com website is an online platform in the form of an electronic marketplace and an intermediary that
   • provides a platform for sellers to advertise, exhibit, make available and offer to sell various Products to buyers/ customers and;
   • a platform for such other Users to accept the offer to sell the Products made by the sellers on the Website and to make payments to the sellers for purchase of the Products, and;
   • services to facilitate the engagement of buyers and sellers to under commerce on the Website. The Services are offered to the Users through various modes which may include issue of coupons and vouchers that can be redeemed for various Products.
2. ii. Subject to the Terms and Conditions of this Agreement, you are hereby granted a non-exclusive, limited, non-transferable, freely revocable license to use the Website. IndianOnlineSpices reserves all rights not expressly granted herein in the Website and the IndianOnlineSpices Content (as defined below). IndianOnlineSpices may terminate this license at any time for any reason or no reason. To provide a safe and secure shopping experience, we regularly monitor transactions for fraudulent activity. In the event of detecting any suspicious activity, IndianOnlineSpices.com reserves the right to cancel all past, pending and future orders without any liability.

2. Eligibility To Use

• i. The website services are not available to minors under the age of eighteen (18) or to any Users suspended or removed from the IndianOnlineSpices system by IndianOnlineSpices for any reason whatsoever.This Website may only be used or accessed by persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are ‘incompetent to contract’ within the meaning of the Indian Contract Act, 1872 including minors, persons of unsound mind, and undischarged insolvents are not eligible to use the Website. A minor is not allowed to access or register as a User or sell or purchase any items on the Website.
• If you are below the age of eighteen (18) years, please read through this document with your parent or legal guardian, and in such a case these Terms and Conditions shall be deemed to be a contract between IndianOnlineSpices and Your legal guardian or parent and to the extent permissible under applicable laws, enforceable against You.
• If you represent and are registering as a business entity, by accepting the User Agreement you represent that such entity has sufficient authority under applicable law to enter into the User Agreement and you are duly authorized by the business entity to accept this User Agreement and you have the authority to bind that business entity to this User Agreement.
• At any given time, You shall not have more than one active Account (defined hereunder) on the Website. Additionally, You are prohibited from selling, trading, or otherwise transferring Your Account to another person.
• IndianOnlineSpices reserves the right to refuse access to use the Services offered at the Website to new Users or to terminate access granted to existing, registered Users at any time without according any reasons for doing so.

3. Your User Account, Passwords and Communications

• You may access and use the Website and the Services either as a guest or as a registered user. However, not all sections of the Website and Services will be accessible to guest users.
• To register on the website, You must complete registration by providing certain information/details as set out on our registration page.Please also refer to our Privacy Policy linked on our home page for information relating to our collection, storage and use of the details you provide upon registration.
• Seller Registration: To be eligible to sell items on the IndianOnlineSpices.com Website, the User is required to separately register on Seller Registration page under Sell Online Page on the Website. The seller shall provide complete details of all the required mandate fields such as the Seller Bank Account, GST number etc. in order to be eligible to sell on IndianOnlineSpices.com Website.
• Buyer Registration: Other than being a User, there is no separate registration requirement for buyers. Anyone who holds a valid card or valid bank account can shop or purchase on IndianOnlineSpices.com. Website allows limited services for unregistered or guest users. Such users will be able to browse the Website and use the Services for the purpose of purchasing goods, and placing orders. However, guest users will not be able to enjoy certain benefits reserved for our registered users. These benefits change from time to time.
• You agree to ensure that your registration details, including your name, address, contact number and email address, are true and accurate at all times and you undertake to update your registration details from time to time when they change.
• You are solely responsible for maintaining secrecy and confidentiality of your username and password.

• If we become aware that either your name and/or email address is incorrect, we reserve the right to immediately cancel your registration and acceptance for registration in the future will be at our discretion.

If you do not want to receive such email messages, you may opt out or change your preferences in your “account settings or unsubscribe.Opting out may prevent you from receiving email messages regarding updates, improvements, or offers.
• IndianOnlineSpices services are not available to temporarily or indefinitely suspended IndianOnlineSpices members. IndianOnlineSpices reserves the right, in IndianOnlineSpices’s sole discretion, to cancel unconfirmed or inactive accounts. IndianOnlineSpices reserves the right to refuse service to anyone, for any reason, at any time.
• Your IndianOnlineSpices account gives you access to the Website and functionality that we may establish and maintain from time to time and in our sole discretion. By connecting to IndianOnlineSpices with a third-party service (for example, Facebook or Twitter), you give us permission to access and use your information from the same.
• You agree to keep yourself updated with all data, information and communication pertaining to you made available on the Website by the Company. You further agree that your use of the Website or provision of any data or information including any correspondence (by email or otherwise) to or by the Company is through electronic records and you consent to receive communication from the Company via electronic records which will be deemed adequate service of notice/ electronic record.

4. Terms of Use

• You understand and agree that the Company and the Website merely provide hosting services to its Users (buyers and sellers) who access the Website for purchase and sale of uniqueEthnic products (that are permitted to be bought and sold under applicable law). All items advertised and/or listed on the Website and the contents therein are advertised and listed by Users and are third party purchasers and/or sellers as the case may be. You also give permission to the Website and the Company to store details and records of your usage of the Website indefinitely. However, this does not constitute any obligation on the part of the Company or the Website to do so.
• Presently, the membership on the Website is free and the Company does not levy any charges/fees for browsing or buying on the Website. However, for the purposes of listing any item on the Website to be sold or availing other services provided by the Company through the Website such as packing material, courier charges etc., such fees will be borne by the seller.
• The Company at its sole discretion may introduce fees for the new services provided or amend/ introduce fees for the existing services, as the case may be. The changes to the User Agreement or any of the rules and policies of the Company shall be posted on the Website and such changes shall automatically become effective immediately after they are posted on the Website.
• The Company reserves the right to introduce new services or modify the existing services provided on the Website at any time.
• All fees/ charges shall be quoted in Indian Rupees and shall be payable to Vilcrafts Marketplace Private Limited within such time as specified in the invoice. You are responsible for paying all charges/ fees associated with the use of the Website and shall be liable to pay any and all applicable taxes, charges, cesses etc. which may be levied.
• In case of any non- payment, the Company reserves the right to issue a warning or temporarily/ indefinitely suspend or terminate your membership with the Website and disallow access to the Website. The Company also reserves the right to take any legal action against you in case of any non- payment of charges/fees to the Company.
• If you purchase/buy any product on the Website, you agree to also comply with the terms and conditions set out in the Policy for Buyers incorporated herein by reference.
• If you propose to sell any product on the Website, you agree to also comply with the terms and conditions set out in the Policy for Sellers incorporated herein by reference.
• The Company offers packing materials, courier services from our logistic partners, and other value added services to the sellers and sellers who opt to avail any of the IndianOnlineSpices’s Logistics services agree to comply with the terms and conditions set out in Policy forShipping, Refund, Return, and Cancellation as listed on the homepage of the website.
• You understand and agree that the Company may appoint any third party service providers, including but not restricted to one or more of the Company’s affiliate to provide backend operations and support as instructed by the Company from time to time including but not limited to collection, processing and remittance of the Transaction Price using the existing authorized banking infrastructure to provide enabling support facility for collection and remittance of payment including but not limited to the Logistics Partner.
• The Company neither originates nor transmits any communication/ information on behalf of any User nor does it modify the contents of any communication transmitted. The Company has no control over third parties and contents generated by the Users on the Website.
• Any information provided by you to the Company or submitted on the Website or provided or displayed to other Users of the Website in the registration, buying or listing process, in the feedback area or through any e-mail communication is solely your responsibility and the Company or the Website merely is a platform where such information is distributed, published, displayed or used by Users. The Company or the Website is not liable for accuracy, appropriateness or legality of such information.
• You agree, understand and acknowledge that the IndianOnlineSpices.com website is an online platform that enables you to purchase/buy products that are listed on the website at the price indicated therein at any time from any location. You further acknowledge and agree that IndianOnlineSpices is only a facilitator and is not and cannot be a party to or control in any manner any transactions on the website.

5. User Obligations

• Subject to compliance with the Agreement(s), IndianOnlineSpices grants You a non-exclusive, non-sub-licensable, non-transferable, revocable, and limited right to access and use this Website and the Services provided therein
• The Website may allow you to post certain content, data or information of Your own such as allowing You to write product reviews, rate Products, seller, post your comments, as well as submit any suggestions, comments, questions or other information to IndianOnlineSpices using the Website / Services (collectively referred to “User Content”). You, being the originator of the User Content, are responsible for the User Content that You upload, post, publish, transmit or otherwise make available on the Website. You understand, agree and acknowledge that you have obtained all relevant consents and approvals in order to post any User Content. You further represent that all such User Content will be in accordance with applicable law. You acknowledge that IndianOnlineSpices does not endorse any User Content on the Website and is not responsible or liable for any User Content. IndianOnlineSpices reserves the right to disable access to the User Content on the Website.
• You understand and agree to grant IndianOnlineSpices a perpetual, non-revocable, worldwide, royalty-free and sub-licensable right and license to use, copy, distribute, display, publish, transmit, make available, alter, reproduce, modify, adapt the User Content and create derivate works of the User Content. You further agree and acknowledge that IndianOnlineSpices is only a facilitator and is not and cannot be a party to or control in any manner any advertisement, exhibition, making available, offer to sellor transactions of sale or purchase of Products on the Website. IndianOnlineSpices is not the seller of the Products. Accordingly, any contract for the sale / purchase of Products on the Website is a bipartite contract between You and the sellers (if You are a buyer) or You and the buyer (if You are a seller). IndianOnlineSpices neither recommends You to buy or sell any Products on the Website nor does IndianOnlineSpices endorse any such Products or provide any guarantee, warranties or assurance with respect to the advertisement, exhibition, making available, offer to sell or transactions of sale or purchase of Products on the Website. Further, IndianOnlineSpices does not guarantee, warranty or provide any assurance on the behaviour of any User of the Website including any guarantee, warranty or assurance that any User (whether buyer or seller) will complete any transaction or act in a prudent manner.
• You agree, understand and acknowledge that when you use the Website and/or the Services You specifically undertake not to host, display, upload, alter, modify, publish, transmit, update or share any information or Content that:

  • falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded;
  • violate any code of conduct or other guidelines, which may be applicable for or to any particular Service;
  • violate any applicable laws or regulations for the time being in force within or outside India;
  • violate the terms of the Agreement
• You shall be solely responsible for keeping backup versions of all the information and data provided by you. You understand and agree that you will not expect the Website/The Company to restore or keep back up of your information and data and not hold the Website or The Company accountable for any loss of data in any circumstances.
• You shall not, either alone or in conjunction with other users, manipulate or attempt to manipulate the prices of any item being sold or purchased on the Website. You will also refrain from accessing information or databases in an unauthorized manner from the Website or servers where information or databases are kept.
• You shall not place any advertisements on the Website in any manner. Further, you shall not use the Website to promote your own or any other persons business or interests on the Website except for providing description on a listing for a specific item, unless permitted by the Company in writing.
• If you choose to give feedback on the Website which is visible to other users, you shall take due care while making comments and not make any comments that are not factual in nature and shall not post defamatory or illegal or offensive/ obscene contents.
• In case of any transaction or attempted transaction pertaining to any item listed on the Website which is violative of this User Agreement or applicable laws comes to your knowledge, you shall forthwith take all steps to inform the Company of such violation at info@IndianOnlineSpices.com
• You undertake not to disclose or distribute any other User’s Information to a third party, or use the Information for any unauthorized purpose including for the purposes of marketing unless you have obtained the User’s express consent to do so.
• You shall use this Website, and any voucher/coupons purchased through it, for personal, non-commercial use only and shall not re-sell the same to any other person
• You shall not attempt to or circumvent or manipulate any of the obligations conferred on you by this User Agreement. If such attempt is discovered, it will constitute sufficient ground for termination of access to the Website and also for taking appropriate legal action.
• You shall not attempt to ‘double dip’ during the course of a dispute by receiving or attempting to receive funds from the Company and/or its service providers and/or the buyer or seller as the case maybe.

6. Our Proprietary Rights

Except for your User Content, the videos and all materials therein or transferred thereby, including, without limitation, software, images, text, graphics, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, videos, music, and User Content belonging to other Users (the “IndianOnlineSpices Content”), and all Intellectual Property Rights related thereto, are the exclusive property of IndianOnlineSpices and its licensors (including other Users who post User Content to the Website ). Except as explicitly provided herein, nothing in this Agreement shall be deemed to create a license in or under any such Intellectual Property Rights, and you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any IndianOnlineSpices Content. Use of the IndianOnlineSpices Content for any purpose not expressly permitted by this Agreement is strictly prohibited.

You may choose to or we may invite you to submit comments or ideas about our Website including the products and or services we provide therein, including without limitation about how to improve the Service or our products (“Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place IndianOnlineSpices under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you, and/or to disclose the Idea on a non-confidential basis or otherwise to anyone. You further acknowledge that, by acceptance of your submission, IndianOnlineSpices does not waive any rights to use similar or related ideas previously known to IndianOnlineSpices, or developed by its employees, or obtained from sources other than you.

7. Use of Content

1. Except as expressly indicated to the contrary in any applicable Additional Service Terms, IndianOnlineSpices hereby grants You a non-exclusive, revocable and non-transferable right to view, download and print product catalogues available on the Website, subject to the following conditions:
   • You may access and use the product catalogues solely for your personal, informational, and internal purposes, in accordance with these Terms of Use;
   • You may not modify or alter product catalogues available on the Website;
   • You may not distribute or sell, rent, lease, license or otherwise make the product catalogues available on the Website available to others; and
   • You may not remove any text, copyright or other proprietary notices contained in the product catalogues available on the Website.
2. The rights granted to You in the product catalogues or any other materials as specified above are not applicable to the design, layout or look and feel of the Website. Such elements of the Website are protected by intellectual property rights and may not be copied or imitated in whole or in part.
3. Any software that is available on the Website is the property of IndianOnlineSpices or its Sellers. You may not use, download or install any software available at the Website, unless otherwise expressly permitted by the Agreement or by the express written permission of IndianOnlineSpices.

8. Payment Related Information

1. For the purposes of buying and/or selling any item listed on the Website, you agree and undertake not to make payments in any manner other than as provided, without the prior consent of the Company.
2. You agree to provide correct and accurate financial information, such as credit/debit card details to the approved payment gateway or pre-paid payment instrument account details for availing Services on the Website. You shall not use the credit/debit card or pre-paid payment instrument which is not lawfully owned by You, i.e. in any transaction, You must use Your own credit/debit card or pre-paid instrument account. The information provided by You will not be utilized or shared with any third party unless required in relation to fraud verifications or by law, regulation or court order or in accordance with the terms of the Privacy Policy. You will be solely responsible for the security and confidentiality of Your credit/debit card details or pre-paid instrument account. IndianOnlineSpices expressly disclaims all liabilities that may arise as a consequence of any unauthorized use of Your credit/ debit card or pre-paid instrument account.
3. You agree, understand and acknowledge that you have specifically authorized the Company to collect, process, facilitate and remit payments and/ or the Transaction Price by any of the prescribed methods of payment through Payment on Billing or Payment on Delivery to and from other Users in respect of Transactions.
4. Any claim for refund of any payment made to the Company, for any reason whatsoever, shall be to the account of the Seller and the Company shall not be responsible for the same including but not limited to service charges or any other fees/ charges.
5. The Company reserves the right to, at its sole discretion, replace or remove any nodal bank (Nodal Bank) without providing any intimation.
6. The Company shall make reasonable efforts to ensure that requests for electronic debits and credits involving Issuing Bank are informed to the Nodal Bank (defined below) in a timely manner. However, a number of factors that are outside of the Company’s control (including without limitation actions of Issuing Bank, Nodal Bank and the bank or credit / debit/ cash card and/or banks or financial institution infrastructure or indirectly through payment gateway facility providers or through any such facility authorized by the Reserve Bank of India to provide enabling support facility for collection and remittance of payment where the Transaction Price is remitted and/or refunded) may delay the time within which the Transaction Price are collected/ remitted by the Company. The Company neither makes any representations nor makes any warranties regarding the amount of time needed to complete processing, including delays in the banking system and nor shall the Company be liable for any actual or consequential damages arising from any claim of delay.
7. Payment Facility for Your orders: IndianOnlineSpices may from time to time contract with third party payment service providers including banks to open nodal bank account under applicable Indian laws, to facilitate the payment between Users i.e. buyers and sellers and for collection of IndianOnlineSpices’s fees and other charges. These third party payment service providers may include third party banking or credit card payment gateways, payment aggregators, pre-paid instruments, cash on delivery or demand draft / pay order on delivery service providers, mobile payment service providers or through any facility as may be authorized by the Reserve Bank of India for collection, refund and remittance, as the case may be of payment or supporting the same in any manner. IndianOnlineSpices shall initiate the remittance of the payments made by You for Your purchase orders on the Website after the Products are delivered to You and the date of completion of transaction shall be after the Products are delivered to You and such other additional time as may be agreed between IndianOnlineSpices and sellers.

The place of arbitration shall be Mumbai.The Arbitration & Conciliation Act, 1996, shall govern the arbitration proceedings. The arbitration proceedings shall be in the English language.
